Confirmation Statement Requirements for Dormant Companies

Regardless of the fact that your company is dormant, you must still send a Confirmation Statement to Companies House once a year if you’re a director of a registered company.

Your Confirmation Statement is different from your company’s annual accounts and usually won’t be done at the same time.

The date the Confirmation Statement is made up (known as the review period) is usually a year after either the:

• incorporation of your company; or

• date you filed your last Confirmation Statement You can file your Confirmation Statement up to 14 days after the end of the review period.

It’s a criminal offence not to file your statement within 14 days of the end of the review period. If you don’t file, your company and its officers may be prosecuted. Your company may also be struck off the register.

PSC NOTIFICATION - PERSON WITH SIGNIFICANT CONTROL

A person with significant control (PSC) is someone who owns or controls your company. They’re sometimes called ‘beneficial owners’.

Directors of dormant companies must identify the PSC and tell Companies House who they are. This might be you, or someone associated with your company. A company can have one or more PSC.

You must record their details on your company’s PSC register and send Companies House this information. If you can’t identify your PSC, or believe you don’t have one, you need to tell Companies House why.
